1. Service Agreement and Conditions
Please read all the contents of this Agreement carefully before accepting it, and fully understand the terms, especially the limitation and disclaimer clauses.
We may modify this Agreement from time to time. After any changes, we will make a public announcement on our website without separate notice. If you continue to use our services after such changes, you agree to be bound by the modified terms and conditions. Otherwise, please stop using our services immediately. If you have any questions about this Agreement, please contact the relevant business department of AIZHO for timely communication and inquiry.
To use our services, you must read and accept the relevant terms, conditions, and rules of this Agreement in detail. Otherwise, you will not be entitled to use our services. If you are under the age of 14, you must have your parents or guardians review our Privacy Policy and obtain their consent before registering to use this service. If you do not agree to any changes to this Agreement, you must stop using our services.
To use the services or features we provide, you need to register. Once you select "Read and Agree" to complete the registration process, or you use the service in any other way, you are deemed to have read and agreed to all the terms, conditions, and agreements set forth in this Service Agreement. If you violate any provision of this Agreement, AIZHO has the right to unilaterally take measures such as restricting, suspending, or terminating the services provided to you at any time based on the nature of your violation, and shall have the right to hold you liable.
2. Service Description
This Service Agreement refers to the binding contract between you and Shenzhen AIZHO Technology Co., Ltd. ("AIZHO" or "we") for the use of AIZHO AI smart toy related services (including website browsing, account registration, the AIZHO App, AI Q&A chat, voice interaction, intelligent companionship, etc.).
AIZHO provides companion services for AI smart toys. You can connect your AI smart toy devices to the AIZHO service platform to access AI dialogue interaction, voice interaction, device status viewing, firmware upgrades, third-party AI service support, and other features.
The features included in AIZHO services may be optimized and modified based on changes in user needs or our own service requirements, and may also be temporarily suspended due to regular or irregular upgrade maintenance.
3. Scope of Services
AIZHO services grant you the right to use this product.
· You may not modify, copy, distribute, transmit, perform, publish, license for commercial purposes, create derivative works, transfer, or sell any content, software, or services contained in our services.
· You may only use the services and software we provide on system platforms and terminals authorized by AIZHO. Using them on unauthorized terminals may cause functional defects to your hardware or software.
· We may upgrade, update, or transfer the related software and features provided by the service, and may also add new features or services. If there is no separate service agreement for new features or services, you may still obtain the relevant authorization, which shall be subject to this Agreement.
4. Account Registration and Management
When registering to use this service, you should be a natural person, legal person, or other organization with full capacity for civil rights and full capacity for civil conduct as stipulated by the laws of the People's Republic of China. You are required to provide true, accurate, up-to-date, complete, and lawful information in all respects. You will be responsible for the information you provide and shall properly safeguard your data. You shall bear all risks for the loss, damage, password leakage, and other basic security issues related to such information.
If you are a person without or with limited capacity for civil conduct, you are not qualified for registration. You and your guardian shall bear all consequences caused by your improper registration in accordance with the law. If you are a child under the age of 14, your parents or legal guardians must register on your behalf and consent to this Agreement and our Privacy Policy.
When using this service, you should properly safeguard your account and password. If you discover any security risks with your account, you should notify us promptly by sending an email to support@globalaizho.com, and we will do our best to assist you in taking relevant remedial measures.
In the event of a disclosure of a child user's personal information, the child's legal guardian should contact our customer service upon discovery. If the child user discovers the issue, please inform your legal guardian to contact our customer service. We do not guarantee that our services will be completely free of security issues or errors. Any losses caused by any actions under your account shall be borne by you.
5. Account Suspension and Cancellation
5.1 Account Suspension
Your account (all or partial permissions or functions) may be suspended in the following circumstances. We will notify you by email, in-app message, SMS, or phone:
1. For the security needs of service operations, such as when you engage in or may engage in actions that damage or attempt to damage the fair environment or normal order of AIZHO or its affiliated companies, or any use of the name or brand of AIZHO or its affiliated companies that may mislead others.
2. Violation of these service terms, related rules, regulations, service descriptions, and other service agreements/terms.
3. Violation of national laws, regulations, policies, or legal instruments.
4. You are the subject of complaints from others who have provided relevant evidence, and you have failed to provide contrary evidence as required by us.
5. We reasonably determine through analysis that your account operations are abnormal.
6. Suspension is required by competent national authorities.
7. We reasonably determine that you are involved in other situations of the same nature as the above behaviors or that pose similar risks.
5.2 Account Cancellation
1. If the above suspension circumstances are serious, or based on requirements from competent national authorities, your account (all or partial permissions or functions) will be cancelled. We will notify you by email, in-app message, SMS, or phone.
2. You understand and agree that if you have not logged into our services through your account for 6 consecutive months and there are no unexpired services under your account, we have the right to cancel your account, and you will no longer be able to log in to use our services.
3. After you voluntarily request account cancellation, we will retain your data for 14 days as a cooling-off period, during which you may revoke the cancellation request and restore your account. After the 14-day cooling-off period expires, all personal information, device data, AI dialogue records, usage records, and other data under that account will be permanently deleted and cannot be recovered.
6. Account Appeals
In the event of the aforementioned account suspension or cancellation, you should pay timely attention and may follow the procedures to file an appeal or take other subsequent actions:
· If you apply to us through the appeal procedure to lift the above suspension or cancellation, for the security of your account, you should cooperate by truthfully providing identification and relevant materials, as well as other information or documents required by us, so that we can verify your identity.
· You should fully understand that your appeal is not necessarily guaranteed to be approved. We have the right to decide whether to agree to your appeal request.
· You understand and agree that if you refuse to truthfully provide identification and relevant materials, or fail to pass our review, we have the right to permanently suspend such account and permanently restrict some or all functions of the account.
7. Special Terms for AI Services
Given that the core functions of this product are AI Q&A chat and voice interaction, you should pay special attention to the following when using AI services:
7.1 AI Content Disclaimer
· AI-generated response content is automatically generated by algorithms and may be inaccurate, incomplete, or inappropriate. It does not constitute any professional advice (including but not limited to medical, legal, or financial advice).
· You should view AI response content rationally and judge its applicability on your own. We shall not be liable for any losses arising from reliance on AI-generated content.
7.2 AI Usage Rules
When using AI services, you shall not:
· Use AI services to generate or disseminate illegal or non-compliant content;
· Use AI services to harass, defraud, or infringe upon the legitimate rights and interests of others;
· Circumvent AI content safety filtering mechanisms through technical means;
· Use AI services for any purpose that violates laws, regulations, or this Agreement;
· Reverse engineer, decompile, or attempt to extract the underlying algorithms of the AI models used in the AI services.
7.3 AI Data Processing
· The content you submit in AI dialogues will be sent to third-party AI service providers (including but not limited to: ByteDance, Alibaba, Tencent, OpenAI, Amazon Nova, GPT, Claude, etc.) for generating responses. For details, please refer to our Privacy Policy.
· Please do not actively input sensitive personal information in AI dialogues (such as real names, home addresses, school names, ID numbers, phone numbers, etc.). This applies to both you and your children.
· AI dialogue content will not be stored in association with your personally identifiable information. Dialogue records will be automatically cleared within a reasonable period.
7.4 AI Usage by Child Users
· For child users, we have deployed stricter AI content safety filtering mechanisms to block content unsuitable for minors.
· Guardians should educate and supervise children to use AI services responsibly and not to disclose real personal information in dialogues.
· We prohibit AI from pushing any advertising or commercial promotional content to child users.
7.5 Intellectual Property
· The intellectual property rights of the models, algorithms, software, and related technologies used in the AI services belong to us or the relevant rights holders.
· You may use the content generated through AI services within lawful scope, but you shall not use it for illegal or non-compliant purposes.
· You may not claim exclusive intellectual property rights over AI-generated content.
8. Third-Party Services
· Some third-party service support provided in our services is intended to offer you a better experience. We have obtained lawful authorization from these service providers for such support.
· When using some third-party services, you may need to submit certain information such as your avatar, nickname, etc. We merely provide the relevant access points. We do not control the intellectual property legality of such information and will not be responsible for any information you may submit.
· We cannot guarantee the validity period of the software provided by third-party software service providers currently used in our services, and we may also add software provided by new third-party services.
9. Service Usage Rules
You bear all risk and responsibility for all activities when using our services. We reserve the right to refuse you access to part or all of our services at any time without notice. If we determine at our sole discretion that you are engaged in prohibited activities, disrespect other users, or otherwise violate this Agreement, we may refuse you temporary or permanent access to our services, and any such decision shall be final.
If any of your activities in violation of this Agreement cause any losses to AIZHO or any losses to other third-party users, you shall compensate AIZHO or the third-party users for such losses and any expenses incurred thereby. AIZHO has the right to seek compensation from you.
The following are, but not limited to, activities that violate this Agreement:
· Collecting other users' information or data without authorization, or attempting to access the communication data of this service.
· Deliberately creating and spreading computer viruses or other destructive programs, attacking the system software architecture and communication networks used in this service, causing damage to computer systems and communication networks.
· Using our services through automated tools or writing automated code, interfering with or damaging our servers and network connections, or maliciously increasing server load.
· Interfering with or disrupting the use of our services by other users without authorization.
· Using AI services to generate illegal or non-compliant content, or attempting to circumvent content safety filtering mechanisms.
· Uploading or sharing information containing but not limited to any of the following illegal content:
o Content opposing the fundamental principles established by the Constitution;
o Spreading rumors, slander, or publishing and disseminating other harmful information; inciting subversion of state power, inciting secession, or undermining national unity;
o Stealing or divulging state secrets, intelligence, or military secrets;
o Inciting ethnic hatred or ethnic discrimination, or undermining ethnic unity;
o Organizing cult organizations, contacting cult members, or undermining the implementation of national laws and administrative regulations;
o Infringing upon others' intellectual property rights;
o Disseminating obscene films, audio-visual materials, or images, or providing links to obscene websites;
o Illegally intercepting, tampering with, or deleting others' emails or other data;
o Containing any other content restricted or prohibited by applicable cybersecurity laws and regulations.
10. Privacy Policy and Data
We place great importance on protecting your personal data. We have formulated the "AIZHO Technology Privacy Policy," which provides important disclosures regarding services related to personal data, the collection, use, processing, sharing, storage, and protection of personal data. We recommend that you read the "AIZHO Technology Privacy Policy" in detail.
In particular, for child users, we have established dedicated provisions for the protection of children's personal information in our Privacy Policy. Guardians are strongly advised to read these provisions carefully.
11. Scope and Limitation of Liability
You understand and agree that AIZHO shall not be liable to you for any direct or indirect losses arising from the use of this service, violation of this Service Agreement, or any actions taken under your account; any direct or indirect losses caused to you by third parties using our services; suspension of services due to our upgrade maintenance; or unilateral suspension or termination of services for our reasons or other reasons.
We make reasonable efforts to verify the accuracy of any information we provide, but we make no express or implied warranties regarding its accuracy. We cannot guarantee any information including but not limited to non-infringement, compatibility, security, or completeness.
We may notify you of service progress by email and prompt you for further action, but we do not guarantee that you will receive or receive such emails in a timely manner, and we shall not bear any consequences for this. Therefore, AIZHO shall not be responsible for any disputes or losses caused by your failure to timely confirm changes in the status of relevant services or failure to submit relevant service applications during the service process.
You understand and agree that, except for death and personal injury caused by our negligence, we shall not be liable for any economic losses, indirect or consequential losses related to contract, tort, or any matters under this Agreement, or any direct or indirect losses caused by force majeure or third-party reasons.
Any software derived from the licensed software that is not authorized and officially released by AIZHO is illegal. Downloading, installing, and using such software may lead to uncertain risks, and the resulting legal liabilities and disputes shall have nothing to do with AIZHO. We have the right to suspend and terminate all services we provide.
AI-Generated Content Disclaimer: Response content generated by AI services is automatically generated by algorithms. We make no guarantees regarding the accuracy, completeness, or applicability of AI-generated content. We shall not be liable for any losses arising from reliance on AI-generated content.
You understand and agree that there is no joint venture, partnership, employment, or agency relationship between you and AIZHO. You agree that you will not regard yourself as a representative, agent, or employee of AIZHO, and we shall not be liable for any of your descriptions, actions, or omissions.
12. System Interruption or Failure
AIZHO shall not be liable for damages if the system fails to operate normally due to the following conditions, preventing you from using various services. Such conditions include but are not limited to:
1. The AIZHO service platform is undergoing system maintenance.
2. Data transmission cannot be carried out due to network operator equipment failure.
3. Force majeure factors such as typhoons, earthquakes, tsunamis, floods, power outages, wars, or terrorist attacks cause system obstacles that prevent normal service provision.
4. Service interruption or delay caused by hacker attacks, technical adjustments or failures by local operators, or platform upgrades.
5. Service interruption or failure of third-party AI service providers causing AI features to be temporarily unavailable.
The quality and content of services provided by cooperative units of this service shall be the responsibility of the respective cooperative units.
To the extent permitted by law, AIZHO shall not be liable for any indirect, punitive, special, or derivative losses (including business losses, loss of use of data, or other economic benefits) related to or arising from this Agreement, whether caused by breach of contract (including breach of warranty) or tort, even if previously informed of the possibility of such losses. Furthermore, even if the exclusive remedies provided in this Agreement fail to achieve their fundamental purpose, AIZHO's liability for the above losses shall be excluded.
You understand and agree that the services provided by AIZHO are provided based on existing technology and conditions. Although AIZHO takes various security measures and communication service measures, due to potential instability factors in various aspects of the system platform, any aspect (including but not limited to natural disasters, virus attacks, network failures, hardware failures, etc.) may cause one party to the agreement to be unable to reasonably and normally use the services. You must bear such risks. AIZHO shall not be liable to you for such risks.
You understand and agree that during the use of this service, you may encounter risk factors such as force majeure that may cause service interruptions. In such cases, AIZHO will make every effort to cooperate with relevant parties or users to carry out timely repairs, but AIZHO shall be exempt from liability for any losses caused to you thereby.
13. Termination of Agreement and Liability for Breach
You understand and agree that the use of our services must comply with the intellectual property rights of the software content, fulfill obligations as agreed in this Agreement, and use the services in accordance with the rules. If we discover that you have seriously violated this Agreement, we shall have the right to terminate the provision of services.
Upon termination of this license, you must immediately stop using the licensed software under this Agreement and destroy all copies.
For the licensed software provided in our services, you need to comply with the rules regarding usage methods and restrictions of the relevant download platforms, terminal manufacturers, and system platforms. If any of them confirms that you have violated such agreements, AIZHO may suspend or terminate your software license at their request.
If you violate this Agreement or other agreements entered into with AIZHO, we shall have the right to unilaterally suspend or terminate some or all of your service permissions.
If you violate the terms and rules of this Agreement and cause losses to AIZHO or other users, you must bear all legal and compensation liabilities.
14. Dispute Resolution
The validity, interpretation, amendment, execution, and dispute resolution of this License Agreement shall be governed by the laws of the People's Republic of China.
If any provision of this Agreement is invalid or unenforceable, all other provisions and regulations of this Agreement shall remain in full force and effect and shall not affect other provisions. After determining that any provision is invalid, illegal, or unenforceable, both parties shall, through friendly negotiation, delete or modify the invalid or illegal provisions to achieve the original purpose of the service agreement between both parties in an acceptable manner.
This Agreement is signed in Nanshan District, Shenzhen City, Guangdong Province, China. Any dispute arising from or related to this Agreement shall be under the jurisdiction of the People's Court of Nanshan District, Shenzhen City, where this Agreement is performed.
15. Updates to This Agreement
AIZHO has the right to change the content of this Service Agreement and the corresponding service rules, and will announce or notify such changes through website announcements, email, and other means. If you continue to use this service after changes to this Service Agreement, it means that you have fully read, understood, and accepted the modified content, and you will also follow the modified content.
Material changes to terms involving the rights and interests of child users will require the guardian's explicit consent again.
